Terms of service.

The terms on which Spheno Labs Ltd provides this website and the paid advisory session booked through it. Project engagements are governed by a separate written agreement.

Who you are contracting with

This website, csong.health, is operated by Spheno Labs Ltd, a company registered in England and Wales under company number 17196225, with its registered office in Guildford, England. In these terms "we", "us" and "our" mean Spheno Labs Ltd, and "you" means the person or organisation using the site or booking a session. You can reach us at cs@csong.health.

These terms cover your use of this website and the paid advisory session that can be booked through it. They do not cover project work. Any Clinical Safety Officer engagement, safety case package, retainer or other project is governed by a separate written agreement, and where that agreement conflicts with these terms, that agreement prevails.

What this website is, and what it is not

This site provides general information about clinical safety, healthcare AI, regulatory routes and Spheno Labs products. It is written for suppliers, NHS organisations and clinical teams.

Nothing on this site, and nothing said during a suitability or advisory call, is clinical advice, a diagnosis, a treatment recommendation or a service for patients. No clinician and patient relationship is created. Nothing here is legal or regulatory advice, and none of it replaces advice from your own solicitors, regulatory consultants or notified body.

No appointment as your Clinical Safety Officer

This matters more than anything else on this page. Reading this site, exchanging emails, booking a call, receiving a quote or discussing your product does not appoint Dr Chiho Song or Spheno Labs Ltd as your Clinical Safety Officer under DCB 0129 or DCB 0160, and does not make us responsible for your clinical risk management. A Clinical Safety Officer appointment arises only under a signed written engagement that names that role. Until that exists, the accountable Clinical Safety Officer for your product remains whoever your organisation has appointed.

Do not send patient data

Do not submit patient-identifiable information, special category health data or confidential clinical records through any form on this site, by email, or during a call. If you send such information we may delete it without using it, and you remain the controller of it. Where you need to discuss real clinical material, we will agree an appropriate route and any necessary data protection terms in writing first.

Free suitability calls

Suitability calls, product demonstrations and partnership conversations are offered free of charge. They create no obligation on either side. We may decline a request, and either side may end the conversation at any point.

Paid advisory sessions

A paid advisory session is a single scheduled video consultation of up to 30 minutes, on one defined question you set out when booking. The fee is shown on the booking page and is payable in pounds sterling before the session is scheduled. Where VAT applies it is shown at checkout. Payment is taken by Stripe; we do not receive or store your card details.

Booking is a request, not a confirmed appointment. We will contact you to agree a time. If we cannot help with your question, or the question falls outside what can usefully be covered in one session, we will say so and refund the fee in full rather than take the call.

If you go on to accept a written quote from us for follow-on work, the advisory fee is credited in full against that work. The credit applies to the fee for work you accept from us; it is not redeemable for cash and is not transferable.

Rescheduling, cancellation and refunds

Where you are booking in the course of a business:

Where you are booking as a consumer rather than for a business, you have a statutory right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel within 14 days of booking and receive a refund. If you ask for the session to take place inside that 14-day period, you are expressly requesting early performance: once the session has taken place you lose the right to cancel, and if you cancel after the session has begun you must pay for what was supplied. Nothing in this section affects your other statutory rights.

Prices and quotes for project work

Prices shown on this site, including package and hourly figures, are indicative and are not an offer capable of acceptance. A binding price arises only in a written quote or engagement letter issued by us for your specific scope. Fixed-fee work covers the scope stated in that document; anything outside it is separately scoped and priced before it starts.

Your responsibilities

Any view we give is based on the information you provide. You are responsible for making sure that information is accurate and complete, and for telling us if it changes. You remain responsible for your product, its regulatory classification, your own clinical risk management activities and every decision your organisation takes. We do not assume any duty that sits with your organisation, its clinical governance structures or its accountable officers.

Intellectual property

The content of this site, including text, structure, design and product names such as Sphenoid OS, OralPath, MaxScribe, HoloNav and FlapObs, is owned by or licensed to Spheno Labs Ltd. You may read it, link to it and quote short extracts with attribution. You may not republish substantial parts of it as your own. Automated access is welcome within the limits set out in our robots.txt. Ownership of anything produced under a project engagement is dealt with in that engagement, not here.

Availability and third parties

The site is provided as it is. We do not promise it will always be available or free of errors. Hosting is provided by Netlify, payments by Stripe, and scheduling and video calls may use Google services; each processes information under its own terms. Links to other websites are not endorsements and we are not responsible for their content.

Limits of liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.

Subject to that, and to the extent permitted by law: we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, anticipated savings, goodwill or data, however arising; and our total liability arising out of or in connection with this website and any advisory session is limited to the fees you have paid us for that session. Liability in connection with project work is dealt with in the engagement agreement for that work, not here.

Changes to these terms

We may update these terms. The version published on this page at the time you use the site or book a session is the version that applies. The date at the top of this page shows when it last changed.

Governing law

These terms and any dispute arising out of them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you are a consumer resident elsewhere in the United Kingdom, you may also bring proceedings in the courts of the part of the United Kingdom where you live.
